(一)基本條款：General Articles

1.客戶方委托設(shè)計方提供的建筑設(shè)計服務(wù)均以本合同各項條款、附錄、附表以及雙方為履行本合同相關(guān)內(nèi)容所簽訂的補(bǔ)充協(xié)議等所約定的內(nèi)容為準(zhǔn)，設(shè)計方應(yīng)按照雙方的約定和客戶方的要求完成“ A“工程設(shè)計的各項工作。本合同的附錄、附表、其他條款以及補(bǔ)充協(xié)議等附件是本合同不可分割的部分，具有與本協(xié)定書同等的法律效力。The architectural design services that the Client appoints the Designer to provide shall be in compliance with the provisions, appendixes and exhibits of the Contract, as well as with the provisions in the supplementary agreements in conjunction with the execution of the Contract that have entered or may be entered between the parties. The Designer shall carry out the design tasks for “A“ Project according to the agreement between both parties as well as the requirements of the Client. Appendixes, exhibits, other articles and supplementary agreements of the Contract are integral part of the Contract, and shall have the same legal binding force with the Contract.

2.客戶方委托設(shè)計方為“ A“工程提供的詳細(xì)設(shè)計服務(wù)項目全部列于本合同 附表2——《設(shè)計服務(wù)項目清單》 中，同時設(shè)計方承諾按照該附表中客戶方的要求提供列明的全部服務(wù)項目。All detailed items of the design services that the Client appoints the Designer to provide for “A“ Projec t are included in Exhibit 2 – List of Design Service Items . The Designer shall pledge that all service items listed shall be provided in accordance with the requirements of the Client.

3.設(shè)計方提交工程D階段的圖紙設(shè)計深度，須滿足 附表3——《客戶方對設(shè)計成果的深度要求》 的要求。The depth of the drawings and designs for Stage D of the Project submitted by the Designer shall comply with the provisions in Exhibit 3 – Requirements from the Client on the Depth of the Design Results.

4.對于設(shè)計方提供的各項服務(wù)內(nèi)容和設(shè)計成果，應(yīng)及時根據(jù)客戶方的要求、反饋意見或中國相關(guān)審批機(jī)關(guān)提出的修改意見以及相關(guān)的法律法規(guī)對方案進(jìn)行必要的修改和調(diào)整，并按照 附表 4---《設(shè)計方交圖時間表》 約定的時間內(nèi)交付客戶方。The services and the design results provided by the Designer shall be amended and adjusted in a timely manner according to the requirements and feedback of the Client, the deliberations of the competent authorities of China, as well as relevant laws and regulations, and shall be delivered to the Client within the time frame provided in Exhibit 4 – Designe r's Submission Schedule for Drawings .

5. 客戶方在此承諾按照本合同的各項約定，在設(shè)計方按照客戶方的要求完成附表2中相應(yīng)階段的工作內(nèi)容并得到客戶方的書面確認(rèn)通知后，客戶方將根據(jù) 附表5——《費用、開支及付款方式》 的相關(guān)約定向設(shè)計方支付相應(yīng)工作階段所列明的設(shè)計費用。The Client hereby pledges that after the Designer completes its tasks listed in Exhibit 2 in accordance with the requirements of the Client and after the Client issues to the Designer a written notice for confirmation, the Client shall advance to the Designer due design fees prescribed for different stages of the completion of tasks according to the Contract and Exhibit 5 – Costs, Expenses, and Payment Terms .

6.客戶方須按照本合同 附表6——《關(guān)于中方設(shè)計單位》 中約定工作內(nèi)容和要求在中華人民共和國境內(nèi)指定一家建筑設(shè)計事務(wù)所(設(shè)計院或公司)，提供與工程相關(guān)的服務(wù)，并在設(shè)計方的協(xié)調(diào)指導(dǎo)下完成工程設(shè)計的相關(guān)工作。The Client shall designate within the territory of the Peop le's Republic of China an architectural design firm, institute or company in accordance with the work tasks and requirements prescribed in Exhibit 6 – Regarding the Chinese Design Firm in order to provide services in association with the Project and to carry out other design-related tasks with the guidance and coordination of the Designer.

7. 在“A“工程實施的整個期間，雙方約定將嚴(yán)格按照本合同 附表7——《雙方配合工作方式》 中提到的各項內(nèi)容進(jìn)行配合。During the course of constructio n of “A“ Project, both parties agree to coordinate with each other in strict accordance with the provisions in Exhibit 7 – Coordination between the Parties.

8.考慮到項目下一步市場推廣、宣傳的需要，設(shè)計方應(yīng)提供主要設(shè)計人員名單、執(zhí)業(yè)資質(zhì)以及業(yè)績介紹等作為本合同的 附表8——《設(shè)計方主要設(shè)計師介紹》 。In view of the next-step market promotion and promulgation activities, the Designer shall fill Exhibit 8 – Introductions to Major Designing Personnel of the Designers with the names, professional qualifications and summary of accomplishments of the key designers from the Designer.

9.在履行本合同期間，雙方如有爭議，應(yīng)友好協(xié)商解決。對于不能協(xié)商解決的爭議與糾紛應(yīng)當(dāng)一律提交 中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會 進(jìn)行仲裁，并以中華人民共和國的相關(guān)法律作為仲裁的依據(jù)，同時雙方約定該機(jī)構(gòu)的仲裁為最終裁決。In the event of any dispute between the parties during the execution of the Contract, both parties shall work to solve it via friendly negotiations. Any dispute or conflict that cannot be solved via negotiations shall be referred to China International Trade Arbitration Committee , and relevant laws of the Peop le's Republic of China shall apply. The parties shall also regard the award given by the arbitration committee as final.

10. 本合同一式8份，其中中文、英文版本各4份，合同雙方執(zhí)中文、英文版本合同各2份，不同文字版本的合同具有同等法律效力。雙方約定在發(fā)生糾紛或爭議時須向仲裁機(jī)構(gòu)提交不同文字版本的合同，在文字內(nèi)容理解上發(fā)生歧議時應(yīng)以中文版本為主。The Contract is in octuplicate, four in the Chinese language and four in the English language. Each party shall keep 2 copies of both the English and the Chinese versions. Each copy of the Contract in either language shall have the same legal binding force. In the event of referring to arbitration when any dispute or conflict arises, a Chinese copy of the Contract and an English copy shall be submitted together. In the event of any dispute in the construe of the text of the Contract, the Chinese version shall prevail.
